- Ensure compliance with pharmaceutical regulations (FDA, EMA, cGMP)
- Safeguard proprietary client data and technology
- Draft and negotiate Master Services Agreements (MSAs)
- Draft and negotiate Statements of Work (SOWs)
- Draft and negotiate Non-Disclosure Agreements (NDAs)
- Draft and negotiate Quality Agreements
- Manage the contract lifecycle in the legal database
- Oversee contract intake, drafting, and approvals
- Manage electronic signatures and expiration alerts
- Maintain and update standard contract templates
- Ensure contract terms align with cGMP and health authority regulations
- Assist with audit preparation for regulatory inspections
- Assist with corporate secretarial duties
- Organize board minutes
- Maintain entity registrations
- Manage operational licenses
- Ensure contracts distinguish Background IP and Foreground IP
- Review legal documentation for tech transfer
- Review SOWs for timelines, pricing, and liabilities
- Liaise between QA and client legal counsel
- Resolve disputes over clauses in Quality Agreements
- Track corporate filings for manufacturing sites and labs
- Manage the legal intake portal
- Prioritize contract requests based on manufacturing timelines
