Aufgaben
- Support M&A team in preparing, executing, and implementing transactions
- Focus on M&A projects in sports, strategic growth, start-ups, and restructurings
- Assist throughout the M&A transaction lifecycle
- Draft letters of intent, confidentiality agreements, and transaction documents
- Conduct due diligence and support signing and closing processes
- Handle post-closing matters
- Provide pragmatic legal advice on M&A transactions across jurisdictions
- Translate strategic opportunities into workable legal agreements
- Balance business objectives with Red Bull's interests
- Provide legal support for commercial matters
- Monitor relevant legal developments and create practical solutions
- Draft, review, and negotiate non-disclosure agreements, letters of intent, term sheets, and purchase agreements
- Negotiate transitional services agreements and other commercial agreements
- Advise business on legal issues and ensure agreements reflect commercial deals
- Ensure agreements comply with legal requirements and protect Red Bull's interests
- Support buy-side and sell-side due diligence processes
- Review data room content and collect information
- Coordinate with relevant internal functions during due diligence
- Assess key findings and incorporate them into transaction documents
- Identify legal and transactional risks
- Develop pragmatic mitigation strategies
- Support implementation of mitigation measures and processes
- Contribute to due diligence, signing, closing, and post-closing activities
- Take ownership of individual workstreams
- Develop and maintain internal M&A know-how
- Establish effective M&A processes
- Provide transaction-related guidance to internal stakeholders
- Ensure coherent transaction processes with internal functions
- Manage internal workstreams for transactional matters
- Collaborate with external legal advisors by providing clear instructions and feedback
